Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website located at freemanslandcreatives.com (the "Site") and any services provided by Freemansland Creatives Pte Ltd (UEN: 202321157G), a company incorporated in Singapore ("Freemansland Creatives", "we", "us", or "our").

By accessing or using the Site, you confirm that you are at least 18 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree to these Terms, you must immediately cease using the Site.

We reserve the right to amend these Terms at any time by posting the updated version on the Site. The "Last updated" date above will be revised accordingly. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms.

You may use the Site solely for lawful purposes and in accordance with these Terms. You agree not to use the Site:

— in any way that violates any applicable Singapore or international law or regulation, including the Computer Misuse Act 1993, the Electronic Transactions Act 2010, or the Spam Control Act 2007; — to transmit any unsolicited or unauthorised advertising, promotional materials, spam, or any other form of solicitation; — to impersonate or attempt to impersonate Freemansland Creatives, any of its employees, or any other person or entity; — to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or that may harm Freemansland Creatives or users of the Site; — to attempt to gain unauthorised access to any part of the Site, or any server, computer, or database connected to the Site; — to introduce or transmit any virus, trojan horse, worm, logic bomb, or other harmful or malicious code.

We reserve the right to terminate or restrict your access to the Site immediately and without notice if we determine, in our sole discretion, that you have breached any of these Terms.

All content on the Site — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software — is the property of Freemansland Creatives Pte Ltd or its content suppliers and is protected by the Copyright Act 2021 (Singapore) and other applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Site content for your personal, non-commercial use. This licence does not permit you to:

— reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site for commercial purposes without our express prior written consent; — modify or create derivative works based on the Site content; — scrape, data-mine, or systematically extract data from the Site using automated tools; — remove or alter any copyright, trademark, or other proprietary notices.

The Freemansland Creatives name, logo, and all related marks, names, and slogans are trademarks of Freemansland Creatives Pte Ltd. Nothing on the Site grants you any licence to use our trademarks without our prior written consent.

Information about our services on the Site is for general informational purposes only and does not constitute a binding offer. Any engagement for services — including branding strategy consulting, marketing strategy consulting, customer journey consulting, software development, ERP development, project management systems, and business process automation — will be governed by a separate written agreement or proposal signed by both parties.

In the absence of a separate signed agreement, any work undertaken by us based on a client's instructions will be subject to these Terms and any scope, timeline, and payment terms set out in our written proposal or quotation.

All fees quoted are in Singapore Dollars (SGD) and are exclusive of Goods and Services Tax (GST) unless otherwise stated. GST will be charged at the prevailing rate where applicable.

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with any service engagement, and to use such information solely for the purposes of the engagement.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of the confidential information; or (d) is required to be disclosed by law or court order, provided the disclosing party is given prompt prior notice where permitted.

The Site and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Freemansland Creatives does not warrant that: (a) the Site will function uninterrupted, error-free, or free of viruses or other harmful components; (b) the content on the Site is accurate, complete, current, or reliable; or (c) any errors or defects on the Site will be corrected.

The information on the Site is provided for general informational purposes only. It does not constitute professional legal, financial, technical, or business advice. You should seek independent professional advice before making decisions based on any content on the Site.

To the maximum extent permitted by applicable law, Freemansland Creatives Pte Ltd, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Site or our services, even if we have been advised of the possibility of such damages.

Where liability cannot be excluded, our total aggregate liability arising out of or in connection with these Terms or the Site shall not exceed the greater of: (a) the fees paid by you to us in the 12 months preceding the claim; or (b) SGD 500.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Singapore law.

You agree to indemnify, defend, and hold harmless Freemansland Creatives Pte Ltd and its directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site in a manner not authorised by these Terms; or (c) your infringement of any third-party intellectual property, privacy, or other rights.

The Site may contain links to third-party websites or services that are not owned or controlled by Freemansland Creatives. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

We do not warrant the accuracy or completeness of any third-party content accessible through the Site. Links to third-party websites are provided for your convenience only and do not constitute our endorsement of those websites or their operators.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, and disclose personal data in compliance with the Personal Data Protection Act 2012 (Singapore). By using the Site, you consent to our collection and use of personal data as described in the Privacy Policy.

Neither party shall be liable to the other for any delay or failure to perform its obligations under these Terms or any service agreement to the extent such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, government action, power failures, or Internet infrastructure failures. The affected party shall notify the other party promptly and take all reasonable steps to mitigate the effects of the force majeure event.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, either party may refer the dispute to the Singapore Mediation Centre for mediation before commencing any legal proceedings.

If mediation is unsuccessful, the parties submit to the exclusive jurisdiction of the courts of Singapore.

These Terms, together with our Privacy Policy and any separate written agreement signed by both parties, constitute the entire agreement between you and Freemansland Creatives Pte Ltd with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
